Notice is hereby given that a General Meeting of the Paddle Steamer Preservation Society will be held at the Civil Service Club, 13-15 Great Scotland Yard, London, SW1A 2HJ on Saturday 22 March 2014 at 13.30 hours to consider and, if thought fit, pass the following Special Resolution which will be proposed on behalf of the Council of Management:
“That the existing articles of association in their entirety be removed and replaced by the new articles of association set out in Annex 1 of the booklet circulated with the Autumn 2013 issue of Paddle Wheels.”

The Civil Service Club is situated in Great Scotland Yard, between Whitehall and Northumberland Avenue, a few hundred yards inland from PS Tattershall Castle. There will be a list at the entrance desk which members are requested to sign.

[sm_hr]Explanatory Note

The Charity Commission has been unable to approve all of the provisions of the new Articles of Association passed at the AGM in October. This is because the addition of article 7(2)(c) (which conferred a power to pay trustees in the very limited circumstances set out in article 7(3) for goods supplied not in connection with a service) was a regulated alteration under s.198 Charities Act 2011 and therefore required the Charity Commission’s prior written consent. The Commission is unable to give retrospective consent.

However, it has given consent to us to re-pass the Articles at a General Meeting and all provisions would then be valid. In the meantime the other changes to the articles adopted at the AGM in October have been validly adopted and remain in force. Copies of the booklet circulated with the Autumn 2013 issue of Paddle Wheels will be available at the meeting and the text is available here.

The Meeting will be followed by a London Branch meeting when John Allen will talk on ‘Steamboating USA” which everyone is invited to attend

The Council of Management recommends members to vote FOR the resolution.
